1. Agreement to Terms

These Terms and Conditions (“Terms”) govern your access to and use of the website holistic-wellnest.com (the “Website”) and all related mobile applications, content, features, and services, including but not limited to the booking and provision of holistic sessions, workshops, ceremonies, and packages (collectively, the “Services”). The Services are offered by Holistic Wellnest (“Company,” “we,” “us,” “our”), with its principal place of business at C.8 Sur S/N, La Veleta, 77780 Tulum, Quintana Roo, Mexico.

By accessing, browsing, registering for, booking, or participating in any Service, you (“User,” “you,” “your”) acknowledge that you have read, understood, and agree to be bound by these Terms. Furthermore, you agree to comply with and be subject to our Privacy Policy, Cookie Policy, and Disclaimer (collectively, the “Policies”), which are expressly incorporated herein by reference.

If you do not agree to all of these Terms and the incorporated Policies, you are expressly prohibited from using the Website and Services and must discontinue use immediately.

2. Definitions

For the purposes of these Terms, the following capitalized terms shall have the meanings set forth below:

• Services: Refers to all holistic offerings provided by the Company, including private inner work, personalized treatments, therapeutic workshops, healing circles, shared connection journeys for couples, and curated packages (Earth, Fire, Air, Water). Modalities include, but are not limited to, cacao ceremonies, holistic cupping, Access Bars Therapy, Kundalini activation, Rapé (Hapé) rituals, shamanic breathwork, and intention-based ceremonial sessions.
• Session: A scheduled, time-bound appointment, ceremony, workshop, or treatment delivered by a Holistic Wellnest practitioner.
• Intake Form: The mandatory pre-service questionnaire designed to gather essential personal, health, emotional, and intention-based information to assess suitability and tailor the Service.
• Deposit: A non-refundable advance payment, typically 20% of the total Service fee, required to secure and confirm a booking.
• User Content: Any and all information, data, text, communications, feedback, or materials submitted, provided, or disclosed by you to the Company through any channel.
• Force Majeure Event: Any event beyond the reasonable control of a party, including but not limited to: acts of God, war, terrorism, civil unrest, pandemic, epidemic, government order, natural disaster, extreme weather, utility failures, or labor disputes.

3. Eligibility and Account Registration

To be eligible to use our Services, you must: (i) be at least 18 years of age or the age of legal majority in your jurisdiction of residence; and (ii) possess the legal capacity and authority to enter into a binding contract.

Certain Services require the creation of a user account or the submission of an Intake Form. You agree to provide accurate, current, and complete information during any registration or intake process and to promptly update such information to maintain its accuracy. You are solely responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

We reserve the right, in our sole discretion, to refuse service, suspend or terminate accounts, or cancel bookings at any time and for any reason, including but not limited to a violation of these Terms or suspected fraudulent activity.

4. Nature of Services & Health Disclaimer

Holistic Wellnest provides complementary, holistic wellness experiences focused on personal exploration, energetic alignment, and emotional well-being. Our Services are grounded in ceremonial and traditional practices and are delivered by trained facilitators.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT OUR SERVICES ARE NOT MEDICAL, PSYCHOLOGICAL, OR PSYCHIATRIC TREATMENT, DIAGNOSIS, OR THERAPY. They are not a substitute for professional medical advice, diagnosis, or care from a licensed physician or qualified healthcare provider. If you have any concerns about your physical or mental health, you must consult with an appropriate professional prior to participating.

Participation in Services may involve deep emotional release and physical engagement. You assume full and complete responsibility for your own physical, mental, and emotional well-being before, during, and after any Session.

5. Booking, Payment, and Pricing Terms

5.1 Booking Process.

A booking request is initiated via the Website or direct agreement and is only considered confirmed upon: (i) our receipt of a completed and truthful Intake Form; (ii) our receipt of the non-refundable Deposit; and (iii) our written or electronic confirmation of the booking. 5.2 Pricing and Taxes. All fees are quoted in the currency displayed on the Website and are exclusive of any applicable sales, value-added, or other taxes, which shall be added to the total charge where required by law. 5.3 Payment Methods. Payments are securely processed through third-party payment gateways (e.g., Stripe, Mollie, PayPal). You authorize us to charge your selected payment method for all applicable fees. We do not store your full payment card details. 5.4 Balance Payment. The remaining balance for any confirmed Session is due in full on the day of the Session, prior to its commencement, unless otherwise expressly agreed in writing.

6. Cancellation, Rescheduling, and No-Show Policy

6.1 Cancellation by You. Due to the significant preparatory work and energy commitment involved, cancellations are not permitted once an Intake Form has been submitted. The Deposit is non-refundable under all circumstances of user-initiated cancellation.

6.2 Rescheduling by You. You may reschedule a confirmed Session one time only, provided you give us at least 48 hours prior written notice before the scheduled start time. Rescheduling requests made within 48 hours of the Session, or failure to attend (“No-Show”), will result in the forfeiture of the Deposit and the full Session fee becoming due and payable.

6.3 Cancellation by Us. In the rare event we must cancel a Session, we will offer you the choice of a full refund of all amounts paid or rescheduling to a mutually agreeable time.

6.4 Refunds. Refunds, when applicable under these Terms, will be issued to the original payment method within fourteen (14) business days. No refunds will be provided for partial attendance, dissatisfaction with subjective experiential outcomes, or changes in personal circumstances.

7. User Obligations and Code of Conduct

You covenant and agree to:

• Provide complete, honest, and transparent information in your Intake Form, including all physical, mental, emotional conditions, medications, and contraindications.
• Arrive for Sessions sober (except as part of a facilitated ceremony), punctual, and in a respectful and prepared state.
• Follow all reasonable instructions provided by the facilitator during a Session.
• Treat the physical space, the facilitator, and other participants with dignity, respect, and care, fostering a safe and confidential environment.
• Maintain the confidentiality of the experiences and shares of other participants within group Sessions.
• Assume full and sole responsibility for your choices, actions, and well-being throughout your engagement with our Services.

8. Prohibited Activities

You are strictly prohibited from:

• Using the Services for any unlawful purpose or in a manner that violates any applicable local, national, or international law or regulation.
• Providing false, misleading, or fraudulent information.
• Engaging in any harassing, threatening, abusive, discriminatory, or otherwise disruptive behavior.
• Recording, photographing, screenshotting, or broadcasting any portion of a Session or any proprietary materials without our prior written consent.
• Attempting to probe, scan, test the vulnerability of, or circumvent security measures on the Website or within our systems.
• Using any device, software, or routine to interfere with the proper functioning of the Website or Services.
• Infringing upon the intellectual property, privacy, or publicity rights of the Company or any third party.

9. Intellectual Property Rights

The Website, its original content, features, functionality, Service methodologies, package names and structures, logos, and all associated intellectual property are and shall remain the exclusive property of Holistic Wellnest and its licensors. Your use of the Website and Services grants you only a limited, non-exclusive, revocable, non-transferable license for personal, non-commercial use. You will not reproduce, distribute, modify, or create derivative works of any proprietary material without our express written permission.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL

HOLISTIC WELLNEST, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR RELATED TO THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL IN NO EVENT EXCEED THE TOTAL AMOUNT ACTUALLY RECEIVED BY US FROM YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT.

11. Disclaimer of Warranties

YOUR USE OF THE WEBSITE AND SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. HOLISTIC WELLNEST EXPRESSLY DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE WEBSITE OR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Indemnification

You agree to defend, indemnify, and hold harmless Holistic Wellnest, its affiliates, officers, agents, and employees from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to reasonable attorney’s fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any intellectual property, privacy, or confidentiality right; or (iv) any User Content you submit.

13. Governing Law and Dispute Resolution

13.1 Governing Law.

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

13.2 Exclusive Jurisdiction.

You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Services shall be instituted exclusively in the competent courts located in the Netherlands.

13.3 Informal Resolution.

Prior to initiating formal legal proceedings, both parties agree to attempt to resolve any dispute informally by contacting the other party in good faith.

14. General Provisions

14.1 Force Majeure.

We shall not be liable for any failure or delay in performing our obligations due to causes beyond our reasonable control, including a Force Majeure Event.

14.2 Severability.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver.

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

14.4 Entire Agreement.

These Terms, together with the incorporated Policies, constitute the entire agreement between you and Holistic Wellnest regarding the Services and supersede all prior and contemporaneous agreements, proposals, or representations.

14.5 Amendments.

We reserve the right to amend these Terms at our sole discretion. The “Last Updated” date will be revised. Your continued use of the Services following the posting of revised Terms constitutes acceptance.
